Profiles of the New Members to the Executive Board and the Supervisory Board

In the press release dated 19 March 2020, VIVAT announced the appointment of three new members to the Executive Board of VIVAT and the boards of VIVAT’s insurance subsidiaries, SRLEV NV and Proteq Levensverzekeringen NV.

As of the Closing Date, Hanny Kemna, Floris Deckers and Michele Bareggi will be appointed as members of the Supervisory Board of VIVAT and of VIVAT’s insurance subsidiaries.

New Members to the Executive Board of VIVAT

Angelo Sacca, CSCO (as of the Closing Date)

Angelo Sacca holds a Master’s Degree in Corporate Communications with Economics from Università degli Studi in Siena and is a certified Chartered Financial Analyst. Formerly a Managing Director in the Athora M&A team, he has led the management of the VIVAT transaction for Athora. Previously, he worked in the Financial Institutions Group at the M&A division of UBS and Greenhill & Co and as a Credit Analyst in the European insurance team of Standard & Poor’s credit ratings. In the early part of his career, Mr Sacca worked as management consultant with a focus on the financial services industry.

Annemarie Mijer-Nienhuis, CRO (effective on a date after the Closing Date)

Annemarie holds a Master’s Degree in Actuarial Mathematics from the University of Amsterdam along with the AAG title. Previously she served as Head of Central Risk Management and Central Risk Manager at ABN Amro Bank. Prior to this, she was Group CRO for the Delta Lloyd Group and held holding senior positions within the ING Group. In 2013, she was appointed chief risk officer in the life division management team at Nationale-Nederlanden. In April 2019, she was appointed as a member of the Supervisory Board at Klaverblad Verzekeringen.

Stefan Spohr, COO (as of the Closing Date)

Stefan Spohr holds a Bachelor’s degree in Economics & Political Science from Indiana University, Bloomington and a Master’s Degree from Columbia University, New York. Previously, he was CEO Insurance Operations at Athora Germany. Mr Spohr has significant operational and financial services experience garnered over many years as the Global Head of Industries at Willis Towers Watson, CEO UK & Ireland at BearingPoint and Partner at A.T. Kearney.

New Members to the Supervisory Board of VIVAT

Hanny Kemna

Hanny Kemna has been nominated and appointed as a member of the Supervisory Board with effect from Closing. Ms. Kemna is currently the Chair of the Board of Directors for pensionprovider and asset manager MN, as well as Vice-Chair of the Board of Directors and Audit Committee Chair for healthcare insurance cooperative Menzis. She is also a Board member for micro finance institution ASA International, Audit Committee member for the European research network association Géant and Extraordinary member of the Board of the Netherlands Court of Audit (Algemene Rekenkamer).

Floris Deckers

Floris Deckers has been nominated and appointed as a member of the Supervisory Board with effect from Closing. Mr. Deckers has served as the Chairman of Deloitte Netherlands, as Chairman of SBM Offshore, as the CEO of Van Lanschot Bankiers and as a Senior Executive at ABN AMRO, amongst other senior roles in the financial services industry.

Michele Bareggi

Michele Bareggi has been nominated and appointed as a member of the Supervisory Board with effect from Closing. Mr. Bareggi is the CEO of Athora Group and member of the Board of Directors of each of Athora Belgium SA/NV, Athora Lebensversicherung AG and Athora Life Re Ltd. Michele was formerly Managing Director and Head of Morgan Stanley’s European Insurance and Pensions business as well as being responsible for Morgan Stanley’s reinsurance operations globally. Before joining Morgan Stanley, Michele held senior roles at Nomura Holdings, Lehman Brothers, JPMorgan and Credit Suisse First Boston.
